Terms of Service

1. Provider & scope
The Zahlenwerk service (“Service”) is provided by Lukas Beier, Seelingstraße 5, 14059 Berlin, Germany (“we”, “us”). These Terms of Service (“Terms”) govern your access to and use of the Service. By creating an account or otherwise using the Service you agree to these Terms.
2. The service
Zahlenwerk is a web application that helps users build and analyse financial models. We may add, modify or remove features over time. Some features may be offered only on paid plans; pricing and plan details, where applicable, are presented separately at the time of purchase.
3. Accounts & eligibility
You must be at least 18 years old and able to form a legally binding contract to use the Service. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly if you suspect unauthorised access.
4. Acceptable use
You agree not to:
- use the Service in violation of applicable law;
- attempt to interfere with the integrity, security or performance of the Service;
- reverse-engineer or copy the Service except where allowed by mandatory law;
- use the Service to transmit unlawful, infringing, harassing or malicious content; or
- use automated means to access the Service in a way that imposes an unreasonable load.
5. Your content
You retain all rights in the data and content you submit to the Service (“Customer Content”). You grant us a limited, worldwide, non-exclusive licence to host, process and display Customer Content solely as necessary to operate the Service for you and to comply with our legal obligations. You are responsible for ensuring that you have all rights necessary to submit Customer Content.
6. Our intellectual property
Except for Customer Content, the Service, including software, interface, branding and documentation, is owned by us or our licensors and is protected by copyright and other laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.
7. Fees & payment
Where the Service is offered for a fee, prices are stated at the time of purchase and are exclusive of statutory VAT unless indicated otherwise. Subscriptions renew automatically for the chosen billing period unless cancelled before the next renewal. Refunds are issued only where required by mandatory law.
8. Term & termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms or if continued provision of the Service to you is unlawful. After termination we may delete Customer Content in accordance with our retention practices set out in the Privacy Policy.
9. Warranty disclaimer
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that the results obtained from it will be accurate or reliable for any specific business decision.
10. Limitation of liability
To the extent permitted by law, our liability is limited to damages caused by intent or gross negligence, or to damages caused by slight negligence in respect of essential contractual obligations (Kardinalpflichten); in the latter case liability is limited to damages typically foreseeable at the time of conclusion of the contract. Liability for damages to life, body or health, and liability under the German Product Liability Act, remains unaffected.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated to registered users with reasonable advance notice (e.g. by email or in-app notice). Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.
12. Governing law & jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection provisions of the country in which a consumer has their habitual residence remain unaffected. Where permitted, the courts of Berlin shall have exclusive jurisdiction.
